Lisa Nieuwveld is a highly experienced and resolution-orientated Transactional Commercial Attorney with over 15 years of experience. Lisa has enjoyed a diverse practice at law firms and corporations, working on a vast array of commercial and corporate matters. In addition to her extensive commercial experience, Lisa has worked as a notable international arbitration and cross border commercial litigation practitioner.

With significant international and cross-border experience, Lisa has a native ability to comprehend and manage complex matters, formulating legal solutions in fast paced and demanding environments. Prior to qualifying as a lawyer in two U.S. states, Lisa acquired a business finance degree along with practical, hands-on experience in corporate finance. Lisa’s unique ability to maneuver complex, multi-jurisdictional matters in a commercial, pragmatic manner makes her a perfect addition to our General Counsel as a Service (GCaaS) and Contract Overflow Support services.

  • Experience negotiating client and vendor MSAs, SOWs, SaaS Agreements, Sales, Service, Supply, Distribution, License, Confidentiality, Non-Disclosure, and other Agreements for various industries.

  • Extensive experience drafting and negotiating energy-related agreements, such as engineering, procurement and construction agreements, contractor and sub-contractor agreements, MOUs, designed and implementation manufacturing agreements, and related Services agreements.

  • Assisted a AM100 energy company draft its corporate bifurcations playbook for corporate services and IT bifurcation workstreams during a company spin off as well as supporting the negotiations and closings of contracts in preparation for separation date.

  • Drafted and negotiated medical devices distribution agreement between German and Japanese companies for EU region.

  • Represented non-profit international school with its employment and commercial agreements, and advising on governance matters and change issues.

  • Drafted and negotiated leasing, supplier, commercial contracts for large, publicly listed US-based film products company and its EU based subsidiaries.

  • Listed and negotiated debt instruments, under ISDA terms, as well as SPAC instruments on Amsterdam Stock Exchange.

  • Represented a Dutch investor against an Eastern European government for an indirect expropriation of their investment in an insurance company (ad hoc proceedings).

  • Drafted and negotiated construction turnkey projects for building luggage carriage, chemicals companies and other chemical, manufacturing and/or energy industry clients.

  • Acted as in-house counsel for computer corporation, maintaining corporate annual records, shareholder and Board minutes and drafted and negotiated distribution/supplier, trademark licensing, NDA and other related commercial agreements.

  • Drafted and negotiated a refinery improvement project, from invitation to tender through concluding Engineering, Procurement, Construction, Management contract and terms & conditions for a middle eastern energy company.

  • Drafted and negotiated Engineering, Procurement, Construction contract & terms and conditions for various large, Global oil & gas companies.

  • Drafted and negotiated sales and procurement agreements on behalf of growth stage retail and technology companies, assisting in expansions outside the EU, particularly when seeking to establish premises in the United States.

  • Acted as local counsel and/or co-counsel on international commercial arbitrations under the auspices of various arbitral institutions (ICDR, ICC, NAI and WIPO proceedings).

  • Attorney in both New York and Florida with extensive practical experience in the European Union (The Netherlands) and graduated cum laude from law school.
